1. About

The website www.DynamicInvoice.NET is solely administered by and the property of S.C. Elmicont FinPartener SRL (refered to as the "Company"), having the following credentials: unique ID 17182268, Romanian Chamber of Commerce registry number J15/122/2005.

Visitors and users of the Website commit to carefuly read the Terms and Conditions with respect to existing laws.
The Company reserves the right to change the end user terms and conditions.
The Company reserves the right to notice by email the clients/end users of the Website regarding the terms and conditions changes no sooner than 30 calendar days before the changes come to effect.
The customers/end users have the right to unilaterally denounce the erms and conditions changes within the 30 days term previously mentioned, otherwise the changes are deemed to be accepted.
By not accepting the Terms and Conditions, to the full extent of their content, the end user right to use the application will be totally restricted.
Continuing by accessing and using the application will be regarded as unconditioned agreement to the Terms and Conditions.



2. General terms and conditions

2.1. You are allowed to use the Website only with lucrative purpose. Access will be granted only to active legal entities.
2.2. You may use, download, print documents and reports that we make available in pdf format.
2.3. The Website does not contain links to other websites that are not controlled and property of SC Elmicont FinPartener SRL, and does not take liability for content, policy, practice and rules upheld by any other website.
2.4. You do not have our consent to partially or totally copy and distribute any part or section of the Website, no matter the storage type chosen for later distribution.
2.5. You do not have our consent too sell or rent materials from the Website.
2.6. Actions that negativelly influence oe hinder other end users activities are strictly vorbidden, including accessing and using other users accounts.
2.7. Any action or activity,even by ommission, that could facilitate or encourage actions to break the Terms and Conditions are stricly forbidden.



3. You may not use the Website in the following situations:

3.1. You do not carry out an economical activity.
3.2. The credentials you provided are fictious, incorrect and/or impossible to validate.



4. Acces granting

4.1.Accessing and using DynamicInvoiceNET is based solely on user accounts created by the application admin.
Clients/end users are responsible for confidentiality of passwords and user accounts.
4.2. Disclosing user credentials is stricly forbidden.
The Company is not liable for unauthorized use of user credentials.
4.3. Access will be denied/revoked in the following situations:
- credentials provided by visitors for creating a user account are fictitious, incomplete and cannot be validated;
- clients/end users with access to their stored data, have altered their credentiatl to an extent these can no longer be validated by Elmicont FinPartener SRL for the invoicing process;
- clients/end users that do not pay within calendar 10 days from the due date invoices issued by by Elmicont FinPartener SRL for the use of the Website;
4.4. Clients/end users are solely liable for the content, informations and documents generated with the aid of the Website.
4.5. Clients/end users do not respect the terms and conditions, or we notice an unpropper behaviour.



5. Invoicing and payment terms

5.1. The Company will issue and invoice in advance the fee for using the Website.
5.2. The invoices will be issued in electronic format and emailed to the client.
5.3. The invoice due date is 10 calendar days from invoice date.



6. Renouncing/revoking using the Website

6.1. The client/end users notifies the Company by email.
6.2. The access cencellation date is 10 calandar days following notification date.
6.3. Clients/end users are responsible for downloading their data from the Website until cancelation date.
Failing to do so, the Company is excempted from any liability.
6.4. 15 days from cancellation, all end user data will be permanently deleted.



7. Limitation of liability

7.1. Clients / users understand and accept that the Company is absolved of any liability in the event any interruption, interruption, inconvenience, malfunction or error in the operation of the application, in the event of a technical error of any kind or of any errors in the provision of the services, as well as in any situation where it would not be certain that any errors or technical problems of the those mentioned above are due directly and exclusively to the Company's culpability.
7.2. Clients / users understand and accept that the Company is absolved of any liability for any direct, indirect damages, including loss of profits, other intangible losses resulting from the use of the DynamicInvoiceNET application or any other aspect in connection with the service and from the use of the application in any way or any legal effect deriving from it.



8. Major force

8.1. Neither of the Contracting Parties shall be liable for the non-performance of the term and / or improper execution - in whole or in part - of any obligation to which it is subject if the non-execution or inappropriate execution of the obligation was caused by major force.
8.2. The party invoking major force is obliged to notify the other party within 5 days of the occurrence of the event and to take all possible measures to limit the consequences.
8.3. If within 30 days of major force, that event does not cease, the parties have the right to notify their termination of the right to use DynamicInvoiceNET without any claim for damages.



9. Copyright

9.1. DynamicInvoice.NET is Elmicont Finpartener SRL property and is defended by copyright law and all laws on intellectual and industrial property.
9.2. Use without the consent of Elmicont FinPartener SRL is punishable under the laws in force.
9.3.Clients/users are not allowed to copy, reproduce, distribute, communicate, retransmit in anyway, any material relating to the application DynamicInvoice.NET.
9.4. Any breach of this article gives the Company the right to revoke unilaterally access to the application without any prior formalities.
